Santiago, September 30, 2026.<\/strong> \u2013 Grupo Falabella (Falabella S.A.) and its subsidiary Mallplaza (Plaza S.A.) have signed two non-binding Memoranda of Understanding (MOUs) aimed at enhancing the development and profitability of part of the conglomerate\u2019s real estate assets. The transaction also seeks to simplify the structure of this business area and consolidate Mallplaza as the Group\u2019s sole shopping center operator and developer.<\/p>\n\n\n\n The first agreement, in Chile, provides that, following the completion of a satisfactory due diligence process and the execution of a framework agreement between the parties, a joint venture company will be established to consolidate six assets currently managed by Falabella Inmobiliario: Open Plaza Rancagua, Santa Julia in Vi\u00f1a del Mar, Chill\u00e1n, La Calera and Ovalle, as well as a property in Valdivia. These assets are valued at UF 4,857,500 (approximately US$200 million) and comprise approximately 140,000 square meters of gross leasable area. Mallplaza will enter the joint venture through a capital increase, primarily aimed at financing expansion and transformation projects for these assets. Following the transaction, Mallplaza will control and operate the assets with a stake of at least 51%.<\/p>\n\n\n\n The second agreement, in Peru, involves the joint development of a greenfield project comprising a shopping center and other mixed uses, located in the district of San Isidro, Lima, and currently owned by Inmobiliaria SIC S.A. (\u201cISIC\u201d), a subsidiary of Falabella S.A. Once the required permits have been obtained and the applicable conditions have been met, ISIC will carry out a capital increase to finance the development of the project, to be funded by Falabella S.A. and Mallplaza. Once the project has been developed, Mallplaza will hold a 51% stake in ISIC.<\/p>\n\n\n\n This reorganization will enable Grupo Falabella to specialize the management of its real estate assets, placing their operation in Mallplaza\u2019s hands. This will strengthen the value proposition of these assets by incorporating new uses, services and experiences, with an attractive, people-centered offering and deeper integration with the cities and communities where they are located.<\/p>\n\n\n\n \u201cThis transaction is consistent with our strategy of building an increasingly focused organization and making better use of the capabilities that exist within the Group.
