Monday, June 9 – Organización Corona submitted a Voluntary Exit Notification to Grupo Falabella, a mechanism contemplated in the shareholders’ agreements between both organizations. These agreements grant Organización Corona the right to sell its minority stake in the joint ventures in Colombia, specifically: Falabella Retail (35%), Banco Falabella (31%), Seguros Falabella (35%), and ABC de Servicios S.A.S. (35%).
This request initiates a process that includes determining the value of the companies through a mechanism established in the existing shareholders’ agreements, among other aspects. Once this stage is completed, Grupo Falabella will have up to 240 days to either find a third party to acquire Organización Corona’s stake or acquire it themselves.
The transaction is expected to be completed during 2026, and no significant impact is anticipated on the Group’s consolidated financial position, regardless of whether Falabella or a third party acquires the stake. Furthermore, this process does not affect operations, strategy, or long-term commitments in Colombia.
Grupo Falabella and Organización Corona will continue to be partners in Sodimac in Colombia, maintaining their respective stakes (Organización Corona holds a majority with 51%, and Grupo Falabella holds 49%).
